1. Applicability and General
These General Terms and Conditions of Sale (“GTCS”) apply to all commercial relationships between Tripy SA and its clients.
Client terms are only valid upon express written acceptance by Tripy SA. Silence does not constitute acceptance.
These GTCS, together with our offers, form the entire agreement and supersede all prior correspondence or offers. Prospectuses and technical documentation are indicative and may be modified.
Governing law: Belgian law only.
Competent courts: Charleroi, even in cases with multiple defendants or warranty claims.
2. Offers, Orders, Delivery Times, and Specifications

Offers valid 30 days; must be accepted in writing by an authorized representative of Tripy SA.

Prices in euros; payments in euros only.

Delivery times are indicative, based on supplier capacity. Stock shortages or procurement failure constitute force majeure.

Delivery times start after receipt of all technical specifications. Changes invalidate previous estimates.

If Tripy SA is liable for delay: fixed indemnity ½ % of net price per week after the third week, max 5 % of net price of item.
3. Technical Documentation

Tripy SA is not obliged to provide technical documentation or manuals, unless deemed necessary.

Technical drawings and software files remain Tripy SA property and are never handed to the client unless agreed in writing.
4. Intellectual Property

All intellectual and proprietary rights remain with Tripy SA.

Client contributions to product studies do not confer ownership rights.

Only a right of use is granted.
5. Testing and Prototypes

Client must test prototypes and preliminary projects.

Absence of written notice of unsuitability constitutes acceptance; no later claims allowed.
6. Delivery and Receipt

Delivery is deemed completed at our premises or upon signing delivery note.

Client must accept delivery immediately; storage fee 3 % per week if delayed.

Partial delivery covers the entire order.

Partial non-conformity does not allow refusal or payment deferral.
7. Transport

Transport is at client’s risk and expense.

Tripy SA is not liable for carrier delays.

Deliveries only to the address on the offer.
8. Warranty and Liability

Warranty limited to replacement of defective items at our cost.

No compensation for direct or indirect damage, except in case of fraud.

Defects only valid if reproducible on our premises.

Warranty period: 1 year from delivery unless otherwise agreed.

Client must notify defects within 8 days by registered letter.

Client indemnifies Tripy SA against third-party claims.
9. Payment Terms

Prices in EUR

For consumers (B2C), prices are VAT included.
For business customers (B2B), prices are excluding VAT, which will be added according to applicable regulations.
Payment as stated on invoice or cash within 8 days.

Late payment: 15 % interest + 15 % penalty (min €150).
-
Ownership reserved until full payment.
